Please read these Terms and Conditions carefully before engaging the services of SolidSite. By commissioning our services, placing an order, or making a payment, you agree to be bound by the terms set out below. These terms form the basis of our working relationship and are intended to protect both parties.
1. Introduction
These Terms and Conditions ("Terms") govern the provision of web design and development services by SolidSite ("we", "us", "our") to you ("the Client"). SolidSite is a web design and development service operating in England, United Kingdom.
By proceeding with any order, payment, or project brief, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not commission our services.
2. Description of Services
SolidSite provides professional web design and development services, which may include but are not limited to:
- Custom website design and build (HTML/CSS/JavaScript and platform-based solutions)
- Landing page design and development
- Website redesigns and visual refreshes
- Content integration and basic SEO setup
- Website hosting setup and deployment assistance
- Ongoing maintenance and support packages (where agreed)
The exact scope of work will be agreed in writing (via email or a project brief) before any work commences. SolidSite reserves the right to decline any project at its sole discretion.
3. Client Responsibilities
To enable us to deliver your project to the agreed standard and timeline, the Client agrees to:
- Provide all required content (text, images, logos, branding guidelines) within a reasonable timeframe as agreed at project kick-off
- Respond to queries, requests for approval, and feedback within a reasonable period (typically within 3–5 business days)
- Ensure that all content and materials supplied are owned by or licensed to the Client, and do not infringe any third-party intellectual property rights
- Provide accurate and complete information necessary for the project
- Nominate a single point of contact for all project communications where possible
Delays caused by the Client's failure to provide required materials or approvals may result in revised delivery timelines. SolidSite will not be held responsible for project delays caused by the Client.
4. Payment Terms
Pricing
All pricing is as quoted or listed on our website at the time of order. Prices are in Pounds Sterling (GBP) and are inclusive of any applicable taxes unless otherwise stated. SolidSite reserves the right to update pricing at any time; however, once a project has been agreed and confirmed, the quoted price will be honoured.
Payment Schedule
Unless otherwise agreed in writing, our standard payment structure is:
- 50% deposit — due before work commences
- 50% final payment — due upon project completion and prior to final delivery or website launch
For smaller or fixed-scope projects, full payment upfront may be required. Alternative payment schedules can be agreed in writing prior to project commencement.
Late Payment
If payment is not received by the agreed due date, SolidSite reserves the right to pause work on the project until the outstanding balance is settled. We may also charge interest on overdue amounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
Refunds
Deposit payments are non-refundable once work has commenced, as they represent compensation for time and resources allocated to your project. If a project is cancelled by the Client after work has begun, any work completed up to the point of cancellation will be charged at our standard hourly rate, and any balance from the deposit will be returned or an additional invoice issued accordingly.
If SolidSite is unable to deliver the agreed services for reasons within our control, a full or partial refund will be issued at our discretion.
5. Revisions and Amendments
Each project package includes a set number of revision rounds as specified at the time of quotation or purchase. Revisions must relate to the original agreed scope of work.
Requests for changes that fall outside the original brief, or revisions beyond the included allowance, will be treated as additional work and may incur additional charges, which will be quoted and agreed in writing before proceeding.
Major changes to the scope or direction of the project after work has commenced may also result in revised pricing and timelines.
6. Intellectual Property
Client-Owned Assets
All content, materials, logos, and assets supplied by the Client remain the sole property of the Client. By providing these materials, the Client warrants that they have the legal right to use them and grants SolidSite a licence to use them for the purpose of delivering the project.
Deliverables
Upon receipt of full and final payment, SolidSite assigns to the Client all intellectual property rights in the final website deliverables created specifically for that project. This assignment covers the custom design and code developed for the Client.
Third-Party Assets
Where third-party resources are used (such as stock photography, icon libraries, fonts, or plugins), ownership of those assets remains with their respective rights holders, subject to the applicable licences. SolidSite will only use assets that are appropriately licensed for commercial use.
Portfolio Rights
SolidSite reserves the right to display completed work in our portfolio and use it in promotional materials, unless the Client explicitly requests confidentiality in writing prior to project commencement.
7. Confidentiality
Both parties agree to keep confidential any sensitive information shared during the course of the project. SolidSite will not disclose your project details, business information, or data to third parties except as required to deliver the services (e.g., to hosting providers) or where required by law.
8. Warranties and Representations
SolidSite warrants that:
- We will carry out services with reasonable care and skill
- Deliverables will conform to the agreed specification at the time of delivery
- We have the right to provide the services described
The Client warrants that:
- All materials and content supplied do not infringe any third-party intellectual property or other rights
- They have the authority to commission the work and enter into this agreement
- The website will be used for lawful purposes only
9. Limitation of Liability
To the fullest extent permitted by applicable law, SolidSite's total liability to the Client for any loss or damage arising in connection with a project shall not exceed the total fees paid by the Client for that specific project.
SolidSite shall not be liable for:
- Any indirect, incidental, consequential, or special loss or damage
- Loss of profits, revenue, business, contracts, data, or goodwill
- Losses arising from delays caused by the Client or third parties
- Issues caused by third-party platforms, hosting providers, or software used by the Client after delivery
- Any losses arising from the Client's failure to follow reasonable instructions or maintain adequate backups
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by English law.
10. Termination
Either party may terminate a project by providing written notice to the other party. In the event of termination:
- The Client shall pay for all work completed up to the date of termination at the agreed or standard hourly rate
- SolidSite will provide all completed work files to the Client upon settlement of any outstanding balance
- Any deposit paid is non-refundable if work has commenced (see Section 4)
SolidSite reserves the right to terminate a project immediately and without notice if the Client:
- Requests work that is illegal, unethical, or harmful
- Acts in an abusive or threatening manner toward our team
- Fails to make payment after reasonable notice
11. Governing Law
These Terms and any disputes arising from or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to These Terms
SolidSite reserves the right to update or amend these Terms at any time. Any changes will be posted to this page with an updated "Last updated" date. The Terms in effect at the time a project is agreed will apply to that project, unless both parties agree in writing to apply updated Terms.
